Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Asia Payroll Hub ("we," "our," or "us"), including our payroll outsourcing services, HR technology platform, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering for, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

2. Description of Services

Asia Payroll Hub provides comprehensive payroll outsourcing services and HR technology solutions, including but not limited to:

  • Payroll processing and calculation
  • Tax and statutory deduction management
  • Compliance monitoring and reporting
  • HR technology platform access
  • Employee data management
  • Payslip generation and distribution
  • Payment processing and disbursement
  • Statutory submissions and filings

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Responsibilities

You agree to:

  • Provide accurate and truthful information
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

4. Use of Services

4.1 Permitted Use

You may use our Services solely for lawful business purposes in accordance with these Terms and applicable laws and regulations.

4.2 Prohibited Activities

You agree not to:

  • Use the Services for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit viruses, malware, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Reverse engineer, decompile, or disassemble our platform
  • Use automated systems to access the Services without permission
  • Share your account credentials with unauthorized parties

5. Client Data and Responsibilities

5.1 Data Accuracy

You are responsible for providing accurate, complete, and timely employee data, payroll information, and other data required for our Services. We are not liable for errors resulting from inaccurate or incomplete data provided by you.

5.2 Data Ownership

You retain all ownership rights to your data. By using our Services, you grant us a license to use, process, and store your data solely for the purpose of providing the Services.

5.3 Data Backup

While we maintain backup systems, you are responsible for maintaining your own backups of critical data.

6. Service Level and Availability

6.1 Service Availability

We strive to provide reliable and continuous access to our Services. However, we do not guarantee uninterrupted or error-free operation and may perform scheduled maintenance that temporarily affects availability.

6.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will provide reasonable notice for material changes that may affect your use of the Services.

7. Fees and Payment

7.1 Service Fees

You agree to pay all fees associated with your use of the Services as specified in your service agreement or pricing plan. Fees are typically charged monthly or as otherwise agreed upon.

7.2 Payment Terms

Payment is due according to the terms specified in your service agreement. Late payments may result in service suspension or termination.

7.3 Fee Changes

We reserve the right to modify our fees with reasonable notice. Continued use of the Services after fee changes constitutes acceptance of the new fees.

7.4 Refunds

Refund policies are specified in your service agreement. Generally, fees are non-refundable except as required by law or as specified in your agreement.

8. Intellectual Property

8.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to software, designs, text, graphics, logos, and trademarks, are owned by Asia Payroll Hub or our licensors and are protected by intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our Services in accordance with these Terms. This license does not include the right to resell, redistribute, or create derivative works.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of providing and using the Services. This obligation survives termination of these Terms.

10. Limitation of Liability

10.1 Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.3 Exclusions

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

11. Indemnification

You agree to indemnify, defend, and hold harmless Asia Payroll Hub, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Inaccurate or incomplete data provided by you

12. Termination

12.1 Termination by You

You may terminate your account at any time by providing written notice in accordance with your service agreement.

12.2 Termination by Us

We may suspend or terminate your access to the Services immediately if:

  • You breach these Terms
  • You fail to pay fees when due
  • You engage in fraudulent or illegal activities
  • Required by law or regulatory authority

12.3 Effect of Termination

Upon termination, your right to use the Services will cease immediately. We may delete your account and data in accordance with our data retention policies and applicable laws.

13. Compliance and Regulatory Requirements

You are responsible for ensuring that your use of our Services complies with all applicable laws, regulations, and industry standards in your jurisdiction. We will assist with compliance to the extent specified in your service agreement, but ultimate responsibility for legal compliance rests with you.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

14.2 Dispute Resolution Process

In the event of any dispute, the parties agree to first attempt to resolve the matter through good faith negotiations. If negotiations are unsuccessful, disputes shall be resolved through binding arbitration in Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC).

15. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party services.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through our platform. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Asia Payroll Hub regarding the Services.
